Palaba Business SaaS Terms
Last updated: August 26, 2026
These Palaba Business SaaS Terms (the “Terms”) are between Parsonos Corporation, a Delaware corporation (“Parsonos,” “we,” “us,” or “our”), and the business or professional customer accepting them (“you”). They govern the Palaba application and related self-service processing, support, and deliverables (the “Service”). They do not govern a publisher or other enterprise tenant covered by a signed master services agreement and Order Form; that signed agreement supersedes these Terms for the covered tenant and services.
Our Acceptable Use Policy and, where applicable to Customer Personal Data, Self-Serve Business Data Processing Addendum form part of these Terms for their stated subjects. Our Privacy Notice describes how Parsonos handles personal information for which it determines the purposes and means.
1. Acceptance, business use, and eligibility
1.1 Acceptance
You accept these Terms by a separate affirmative action in the application before account activation or paid functionality. We will provide or make available a durable copy of the version you accepted. A later project confirmation may collect project-specific instructions and rights confirmations but is not a substitute for accepting these Terms before purchase.
1.2 Business and professional use only
Palaba is available only to adults acquiring and using the Service predominantly for purposes relating to their trade, business, craft, or profession. It is not offered for personal, family, or household use. A business customer may be an organization, sole trader, freelancer, or other individual acting for those purposes.
Before accepting these Terms or activating an account, you must affirmatively represent that your acquisition and use meet this business-purpose requirement. If you cannot truthfully make that representation, you may not create an account, purchase, or use the Service. The representation does not waive a right that applicable law makes non-waivable.
1.3 Age and authority
You must be at least 18 years old and legally able to enter into these Terms. Palaba is not directed to children, and minors may not hold accounts or use the Service directly. If you accept for an organization, you represent that you have authority to bind it.
1.4 Service availability
Before activating paid functionality, Parsonos may decline to offer or activate the Service where it is unavailable or unsupported in a location, where the business-use representation is materially inaccurate, or where Parsonos reasonably identifies a material legal, payment-provider, fraud, security, or operational risk. This does not authorize discrimination prohibited by law. After paid functionality is activated, suspension and termination are governed by Section 12.
1.5 Enterprise use
Publishers and customers needing negotiated security, support, service levels, data regions, specialized functionality, or enterprise terms must enter a separate written agreement. Self-service purchase does not create an enterprise commitment.
2. Accounts and access
2.1 Account security
Use your own account and keep the associated email and authentication methods secure. You are responsible for activity performed through your account except to the extent caused by Parsonos’s breach of these Terms or applicable law. Promptly notify us at security@parsonos.com if you reasonably suspect unauthorized access.
2.2 Tenants, roles, and guests
Projects are associated with a tenant. Tenant administrators may assign roles and trusted project managers. An authorized manager may invite a project-scoped editor or viewer, including an external guest. Guests receive access only to the shared project and may use email-based one-time-passcode authentication. Tenant administrators are responsible for selecting trusted managers and guests and for revoking access when no longer appropriate.
2.3 Enterprise identity controls
SSO and MFA enforcement are available only when expressly enabled for an enterprise tenant. The public self-service Service does not promise that every external guest is authenticated through a customer identity provider.
3. The Service
3.1 Processing and deliverables
Depending on the selected workflow, Palaba may prepare or assemble DAW sessions, pickup-package summaries, proofing reports, script-preparation reports, metadata, and other results identified in the application (“Customer Deliverables”). Features and purchase instructions shown before submission determine the applicable workflow.
3.2 Customer review
Speech, AI-assisted, alignment, and editorial processing may produce errors. You must review Customer Deliverables before relying on, publishing, or distributing them. This review obligation does not excuse Parsonos from the warranties or remedies expressly stated in these Terms.
3.3 Not a backup service
Keep independent copies of all materials you submit. The ordinary interface may not permit you to download raw source files after upload. Palaba is a processing service, not an archival repository or disaster-recovery service for your originals.
3.4 Support
Self-service support is provided through the contact method displayed in the application. Enterprise response targets and service levels do not apply unless stated in a signed Order Form.
4. Fees, usage, taxes, and cancellation
4.1 Purchase instructions
Prices, usage units, billing timing, subscription period, and any spending limits will be shown before purchase or submission of a billable job. Depending on the purchase instructions, charges may be collected when incurred or invoiced in arrears at the end of the billing month.
4.2 Payment authorization
You authorize Parsonos and its payment provider to charge the payment method you provide for amounts properly incurred under the purchase instructions. You remain responsible for accrued usage charges even if you cancel before the invoice is issued.
4.3 Taxes and price display
We will display and collect applicable taxes when legally required. You are responsible for accurate billing and tax-registration information and legally applicable reverse-charge or exemption documentation. Nothing in these Terms shifts to you a tax that applicable law requires Parsonos to bear, collect, remit, or disclose before purchase.
4.4 Cancellation
You may cancel recurring or end-of-month service through the application or customer billing portal at any time. Cancellation prevents renewal after the current service period; it does not erase charges already incurred. Access continues through the paid or current billing period unless these Terms permit earlier suspension or termination.
4.5 Payment failure
If payment fails, we will give prompt notice and may suspend new billable processing to prevent additional debt. Where security permits, existing projects and Customer Deliverables will remain read-only during a 14-day cure period. If the failure is not cured, we may terminate the account. Fraud, chargebacks, or a material security risk may justify immediate broader suspension. Repeat payment failures may require prepayment.
5. Customer Content and permissions
5.1 Customer Content
“Customer Content” means manuscripts, scripts, recordings, files, instructions, project data, and other material submitted to the Service by or for you. You retain all rights in Customer Content.
5.2 Required authority
You represent that you have the rights, permissions, legal bases, performer agreements, and other authority required for Parsonos and its subprocessors to process Customer Content according to your instructions. This includes appropriate parent or guardian authorization for a minor performer appearing in a project. Minors may not operate accounts.
5.3 Limited processing license
You grant Parsonos a non-exclusive license to host, copy, transmit, transform, and otherwise process Customer Content only as necessary to provide, secure, support, troubleshoot, and legally administer your Service; comply with law; and follow your documented instructions. This license does not permit generalized testing, advertising, sale, unrelated product development, or model training.
5.4 No generalized training or testing
Parsonos will not use Customer Content to train, fine-tune, evaluate, benchmark, or improve a shared or third-party AI or machine-learning model and will not use it for generalized testing unless you give prior, specific, written permission for a defined purpose. Product improvement may use operational telemetry that does not contain Customer Content or data deidentified under a legally sufficient commitment.
6. Ownership of Customer Deliverables
6.1 Customer ownership
As between you and Parsonos, you own Customer Content and all customer-specific Customer Deliverables. Parsonos assigns to you every right, title, and interest it may acquire in a Customer Deliverable.
6.2 Fallback license
If an assignment is ineffective or a right cannot be assigned, Parsonos grants you a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use, modify, reproduce, publish, distribute, perform, display, sell, and otherwise exploit that Customer Deliverable for any lawful purpose.
6.3 Retained technology and third-party rights
Parsonos retains its pre-existing and general software, algorithms, templates, know-how, methods, and service technology (“Parsonos Technology”). Performer, narrator, privacy, publicity, union, and third-party rights are not extinguished merely because you own a delivered file. Applicable law determines whether any machine-generated element is independently copyrightable; Parsonos transfers all rights it has but does not guarantee that copyright exists in every element.
6.4 Survival
Your ownership and licenses survive cancellation, termination, insolvency, and Parsonos ceasing business. Loss of future access to Palaba does not reverse the transfer.
7. Confidentiality
7.1 Protected material
Customer Content, Customer Deliverables, project titles, and project metadata are your confidential information automatically, without marking. Unpublished manuscripts, recordings, scripts, and release information are presumed confidential.
7.2 Parsonos obligations
Parsonos will use your confidential information only for the purposes allowed by these Terms; protect it with at least the care used for its own similar information and no less than reasonable care; and disclose it only to authorized personnel and providers who need it to provide, secure, support, troubleshoot, or legally administer your Service and are bound by confidentiality obligations.
7.3 Publicity
Parsonos will not use your name, project title, cover, excerpt, narrator name, result, or relationship with Palaba for publicity, demonstrations, case studies, or customer lists without prior written permission.
7.4 Required disclosure
Parsonos may disclose the minimum confidential information legally required after giving advance notice where legally permitted. Information becoming public through you does not authorize Parsonos to redistribute your supplied files or use them for another purpose.
8. Privacy, providers, and locations
Our Privacy Notice explains processing for which Parsonos acts as controller. The Self-Serve Business Data Processing Addendum applies when Parsonos processes Customer Personal Data on your behalf. Current Subprocessors that process Customer Personal Data are identified in the Subprocessor List incorporated through the applicable Data Processing Addendum.
Primary application and project storage is located in the United States. Limited Customer Content or metadata may be processed transiently or for support in other disclosed locations. We do not promise that every category of account, billing, analytics, email, security, or provider-support data remains exclusively in the United States.
9. Acceptable use
You must comply with the Acceptable Use Policy. In particular, do not submit content you lack authority to process; malware; HIPAA-regulated electronic protected health information; child sexual abuse material; sexual exploitation material; non-consensual intimate material; trafficking-related material; or other content whose possession or processing is unlawful.
Lawful adult literary material is permitted. Palaba does not promise proactive editorial review of all Customer Content.
10. Service changes and beta features
We may improve and modify the Service. During a paid service period, we will not materially reduce the purchased core functionality, confidentiality protections, or data-protection commitments without reasonable advance notice and any remedy required by applicable law. Emergency legal or security changes may occur without advance notice, with prompt notice afterward where practicable.
Beta, preview, experimental, and evaluation features will be identified as such, may be changed or discontinued, and receive no service-level commitment. Confidentiality, privacy, content-use, and ownership obligations still apply. We will not route production Customer Content through an optional beta feature unless you enable it after receiving relevant information.
11. Warranties and remedies
11.1 Service warranty
Parsonos will provide the Service with reasonable care and skill and will cause paid functionality and Customer Deliverables to materially conform to their description and agreed project parameters. We do not promise perfect accuracy, uninterrupted availability, or that automated results eliminate the need for human review.
11.2 Correction and re-performance
For a material nonconformity, notify us with enough detail to investigate. We will first use reasonable efforts to correct or reperform the affected Service without additional charge. If we cannot cure a material failure within 30 days after notice, or a shorter period reasonably required by its severity, you may terminate the affected Service and receive a pro-rata refund of unused prepaid fees for it.
11.3 Disclaimer
Except for the express warranties in these Terms and to the maximum extent permitted by law, the Service is provided without implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. This disclaimer does not limit the express ownership, confidentiality, data-protection, or IP-defense obligations in these Terms or a right that applicable law does not permit the parties to exclude.
12. Suspension, termination, retrieval, and deletion
12.1 Suspension
We may suspend only the affected account, project, or functionality when reasonably necessary to address unlawful use, a serious acceptable-use violation, a materially inaccurate business-use representation, a material security threat, material harm to the Service or another person, payment failure under Section 4.5, or a binding legal requirement. We will give advance notice where practicable, otherwise prompt notice afterward; provide the general reason unless prohibited or unsafe; minimize scope and duration; and restore access after the issue is resolved.
12.2 Termination for breach
Either party may terminate for a material breach that remains uncured 30 days after written notice reasonably describing it. An inherently incurable material breach, including a knowingly false business-use representation material to account eligibility, may permit immediate termination. A right that applicable law does not permit the parties to exclude remains available.
12.3 Retrieval
For 30 days after termination, you may request existing Customer Deliverables and customer-specific project metadata available through our standard retrieval method. Where the Self-Serve Business Data Processing Addendum applies, you may also exercise its return-or-delete choice for Customer Personal Data then in our possession or control, including an existing raw-source file to the extent it contains Customer Personal Data. We need not continue processing, maintain ordinary application access, restore backups solely for export, or recreate lost data. Inability to recover data does not excuse a breach of an express legal or contractual obligation.
12.4 Deletion
After the retrieval period, or earlier when you validly request project deletion, we will delete Customer Content from active systems without undue delay and then through the documented backup lifecycle described in the Privacy Notice, subject to legal holds and records we must retain. If a disaster-recovery snapshot containing previously deleted data must be restored, we will reapply deletion before returning the affected data to ordinary production use where reasonably feasible.
12.5 Shutdown
If Parsonos plans to discontinue Palaba permanently, we will provide at least 60 days’ notice where reasonably practicable, a standard retrieval opportunity, and a refund of unused prepaid fees. An unexpected shutdown may make continued access or recovery impossible; we will give prompt notice and use reasonable efforts to provide available Customer Deliverables but do not guarantee reconstruction of irretrievably unavailable data.
13. Claims involving third-party rights
13.1 Customer responsibility for supplied material
You will defend Parsonos against a third-party claim to the extent caused by Customer Content you lacked authority to submit or your unlawful instructions, and pay finally awarded damages or an approved settlement. This obligation does not cover a claim caused by Parsonos’s unauthorized processing, modification, or combination outside your instructions.
13.2 Parsonos IP defense
Parsonos will defend you against a third-party claim that the unmodified Parsonos Technology supplied under these Terms infringes a United States patent, copyright, or trademark, and pay finally awarded damages or an approved settlement. Parsonos may obtain continued use, modify or replace the affected technology without materially reducing the Service, or terminate the affected Service and refund unused prepaid fees. This does not cover claims caused by Customer Content, your instructions, unauthorized modification or combination, or continued use after we provide a non-infringing replacement.
13.3 Procedure
The protected party must give prompt notice, reasonable cooperation, and control of the defense to the defending party. Delay excuses obligations only to the extent it materially prejudices the defense. No settlement may admit fault, impose non-monetary duties, or restrict the protected party without its consent, not to be unreasonably withheld.
14. Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential damages, or lost profits, revenues, goodwill, or anticipated savings, except to the extent those amounts form part of a covered third-party claim.
Except as stated below, each party’s aggregate liability arising from the Service will not exceed the fees paid or payable for the Service during the 12 months before the first event giving rise to liability.
Each party’s aggregate liability for breach of confidentiality, violation of the Self-Serve Business Data Processing Addendum or an express data-security obligation, and covered indemnity obligations will not exceed two times those 12-month fees. The caps and damage exclusions do not apply to fraud, willful misconduct, gross negligence, infringement or misappropriation of the other party’s intellectual property, your obligation to pay properly due fees, or liability that cannot legally be limited. The caps are cumulative rather than additive, and there is no duplicate recovery for the same loss. Applicable data-protection law controls any restriction that cannot be contracted away.
15. Disputes and governing law
15.1 Informal resolution
Before filing a non-urgent claim, each party will send a written description to the other and attempt in good faith to resolve it for 30 days. This requirement does not prevent a small-claims filing, urgent relief, compliance with a limitation period, or exercise of a non-waivable right.
15.2 Governing law and forum
Delaware law governs without regard to conflicts rules. The state and federal courts located in Delaware have exclusive jurisdiction, except for eligible small-claims proceedings and urgent injunctive relief. Each party knowingly and voluntarily waives jury trial and participation in class, collective, consolidated, private-attorney-general, and representative proceedings to the extent enforceable. This section does not override a governing-law, forum, or procedural right that applicable law does not permit the parties to waive.
16. Changes to these Terms
We may update these Terms prospectively. We will email reasonable advance notice of a material adverse change and obtain fresh consent where required by law. A change does not apply retroactively to a completed transaction, an existing dispute, or a committed paid period where doing so would materially reduce your rights. If mandatory law gives you a termination right, we will honor it.
17. General terms
17.1 Assignment
You may not sell or transfer your account. Parsonos may assign these Terms to an affiliate or a legitimate successor in a merger, reorganization, change of control, or sale of substantially all relevant business or assets if the successor assumes Parsonos’s obligations. A right that applicable law does not permit the parties to exclude remains preserved.
17.2 Force majeure
Neither party is responsible for delay caused by an event outside its reasonable control that could not reasonably have been avoided through required continuity measures. This does not excuse payment already due, confidentiality, data-protection duties, or obligations that can still reasonably be performed. Provider failures are not automatically force majeure.
17.3 Entire agreement and precedence
These Terms and the incorporated documents are the agreement for self-service business use. For a conflict, mandatory law controls; the Self-Serve Business Data Processing Addendum controls for its data-protection subject; a purchase instruction controls the specific service and price; these Terms control next; and the Acceptable Use Policy and documentation follow. The Privacy Notice describes processing and does not reduce contractual duties.
17.4 Severability and waiver
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder continues. A waiver must be express and does not waive a later breach.
17.5 Notices and electronic records
We may send self-service notices to your verified account email and, where appropriate, in the application. Material contractual changes will also be emailed. Keep your contact information current. Electronic acceptance and records have the same effect as paper to the extent permitted by law. Email is not service of legal process unless law or express agreement permits.
