Palaba Website Terms

These Website Terms govern access to the public Palaba and Parsonos Corporation websites (“Website”). The Website and Palaba are intended for business and professional audiences. These Website Terms do not govern use of the Palaba application, project processing, or paid services. Those activities are governed by the Palaba Business SaaS Terms or a signed publisher or enterprise agreement.

1. Operator and acceptance

The Website is operated by Parsonos Corporation, a Delaware corporation (“Parsonos,” “we,” “us,” or “our”). By using the Website, you agree to these Website Terms. If you do not agree, do not use the Website.

You must be at least 18 years old to create an account or purchase a service. Merely reading the public Website does not create an account or customer relationship.

2. Informational content

Website content is provided for general information and may be changed. Feature descriptions do not create a service commitment, warranty, service level, price lock, or data-location promise. The terms and purchase instructions presented before an order, or a signed enterprise agreement, control the Service purchased.

We try to keep public information accurate but do not promise that every non-contractual Website statement is complete or current. Nothing on the Website is legal, accounting, medical, publishing, or other professional advice.

3. Permitted use

You may access and use the Website for lawful evaluation of Parsonos and Palaba. You must not:

• interfere with or bypass Website security;
• introduce malicious code or overload the Website;
• use automated means to scrape or extract the Website except for ordinary search-engine indexing or as permitted in writing;
• impersonate another person or misrepresent affiliation;
• infringe intellectual property, privacy, or other rights; or
• use the Website in violation of applicable law.

The Acceptable Use Policy applies where relevant to reports, submissions, and interactions with the Website.

4. Intellectual property

Parsonos and its licensors own the Website, Palaba branding, software, design, documentation, and other materials made available on it, excluding material that a customer owns under a service agreement. Subject to these Website Terms, Parsonos grants you a limited, revocable, non-exclusive, non-transferable right to view the public Website for lawful evaluation and use.

No implied license is granted. You may not use Parsonos or Palaba names, marks, or logos in a way that suggests endorsement or affiliation without written permission.

5. Third-party links

The Website may link to third-party services. A link does not mean Parsonos controls or endorses that service. Third-party terms and privacy practices govern your use of it.

6. Privacy and cookies

The Privacy Notice explains how Parsonos handles personal information collected through the Website. Optional analytics or similar non-essential technologies will be used only as described there and after consent where applicable.

7. Disclaimers and liability

The public Website is provided on an “as available” basis. To the maximum extent permitted by law, Parsonos disclaims implied warranties concerning the informational Website. This disclaimer does not apply to a paid Service governed by another agreement and does not exclude a right or liability that applicable law does not permit Parsonos to exclude.

For business users of the Website, Parsonos will not be liable for indirect or consequential loss arising solely from reliance on non-contractual Website content. Parsonos’s aggregate liability arising solely from the Website will not exceed USD 100. This limitation does not apply to fraud, willful misconduct, gross negligence, infringement, or liability that cannot legally be limited.

A right or liability that applicable law does not permit Parsonos to exclude remains unaffected.

8. Governing law and disputes

Delaware law governs these Website Terms without regard to conflicts rules. The state and federal courts located in Delaware have exclusive jurisdiction over a dispute arising solely from these Website Terms, except for urgent injunctive relief. This section does not override a governing-law, forum, or remedy right that applicable law does not permit the parties to waive.

9. Changes and general terms

We may update these Website Terms prospectively by posting a revised version and date. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver.

These Website Terms, together with the Privacy Notice for its stated subject, are the complete agreement concerning use of the public Website. A signed enterprise agreement or the Business SaaS Terms controls use of the Service.
